In the modern market-economy countries, the commercial law is one of the most basic and important law departments, as well as the main legal means to maintain the market-economy order. There is an established fact that commercial jurisprudence is an independent law subject. Most of the developed countries in the contemporary world, whether they belong to the continental law system or Anglo-American law system, whether they pursue combination of civil and commercial codes or separation of civil and commercial code, whether they have compiled Commercial Code or not, all of them regard commercial law as an independent law department, and set up commercial jurisprudence as an independent law subject. Commercial law (commercial jurisprudence), one of the core courses in law undergraduate education, belongs to the specialized backbone course with a huge discipline system and a wide range of contents. The main contents include the introduction to commercial law, company law, securities law, bankruptcy law, negotiable instruments law, insurance law, maritime law and so on. The courses of bankruptcy law, negotiable instruments law, insurance law, and maritime law are offered separately. This course is mainly about the introduction to commercial law, company law and securities law. Through the study of this course, the students understand the basic framework of China's commercial law, and master the basic theory of commercial law, especially the basic theory of legal systems such as the company law and securities law that form commercial law system, as well as master the basic content of these law systems. And to train students to use the legal knowledge of commercial law, and improve their ability to find, analyze and solve problems in practice.
